Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Sign Code’s website, client portal, and sign-code research services (collectively, the “Services”). By using the Services, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.

Our Services

Sign Code provides sign-code and ordinance research services and related tools for managing projects, sites, invoices, and related records. The Services provide research and operational information; they do not replace legal, engineering, architectural, accounting, tax, or permitting advice. You are responsible for confirming information and obtaining any approvals required for your project.

Accounts and Authorized Users

You must provide accurate account information, keep your credentials confidential, and promptly tell us about any unauthorized use of your account. You are responsible for the activity of users you authorize to access the Services and for ensuring that they comply with these Terms.

Customer Data

You retain ownership of the information, documents, and other material you submit to the Services (“Customer Data”). You grant Sign Code the limited rights needed to host, process, reproduce, and use Customer Data to provide, secure, support, and improve the Services. You represent that you have the rights needed to provide Customer Data and that its use will not violate law or the rights of others.

Fees and Payments

Fees, payment terms, and any applicable taxes are set out in the applicable order, agreement, or invoice. You are responsible for paying amounts due under those terms. If you dispute an invoice, please contact us promptly so we can review it.

QuickBooks Online

The QuickBooks Online connection is optional. If you authorize it, you permit Sign Code to create or update the accounting records necessary for the connection, including customer, invoice, and payment records. You remain responsible for reviewing and reconciling your accounting records. QuickBooks Online is provided by Intuit, and your use of it is governed by Intuit’s applicable terms and policies.

Acceptable Use

You may not use the Services to violate law, infringe another person’s rights, interfere with the security or operation of the Services, attempt unauthorized access, introduce malicious code, or use the Services in a way that could harm Sign Code, its customers, or its service providers.

Intellectual Property

Sign Code and its licensors retain all rights in the Services, including their software, design, content, and underlying technology. Except for the limited right to use the Services in accordance with these Terms, no rights are granted to you.

Confidentiality

Each party will use the other party’s confidential information only as needed to perform under these Terms and will protect it using reasonable care. Confidential information does not include information that is public through no breach of these Terms, already known without a duty of confidentiality, independently developed, or lawfully received from a third party.

Availability and Disclaimers

We work to keep the Services available and accurate, but they may be unavailable from time to time and information may change. To the extent permitted by law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory.

Limitation of Liability

To the extent permitted by law, Sign Code will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, data, or business opportunities, arising from or related to the Services. Nothing in these Terms limits liability that cannot be limited under applicable law.

Suspension and Termination

We may suspend or terminate access to the Services if necessary to protect the Services, comply with law, or address a material breach of these Terms. You may stop using the Services at any time, subject to any separate agreement or payment obligations that apply to your account.

Changes to These Terms

We may update these Terms from time to time. We will post the updated Terms on this page and revise the effective date when we do. Your continued use of the Services after an update becomes effective means you accept the updated Terms.
